WHEREAS, the Provider agrees to deliver the Fierce Formula powered by AI Package as described herein, and the Client agrees to engage the Provider under the terms and conditions set forth in this Agreement.
NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties agree as follows:
1. Scope of Work
The Provider agrees to deliver the following services ("Services") as part of the Fierce Formula AI ELITE Package:
Intense Training: Individual and Group Packages Vary
Duration: 90 DAYS
Location: VIRTUAL
Scope: Comprehensive implementation of the Fierce Formula, including but not limited to:
Foundation Building
Introduction to the Fierce Formula principles
Assessment of current client processes and strategies
Customized strategy development sessions
Execution and Optimization
ONLINE training for implementing strategies
Real-time problem-solving and optimization
Action plan creation and next steps
Cold Outreach-Guaranteed of 1,000 cold leads, 5 Warm
Personalized GPT (Only for clients who purchased the CRM)
Sales Funnel (Only for clients who purchased the CRM)
90 days of Workflow (Upload and format only for clients who purchased the CRM, Formula clients only received a spreadsheet with recommended workflow)
90 days of Social Media Planning (Only for clients who purchased the CRM package as well) (Formula only clients are trained on how to prepare it using AI tools)
AI Agent creation and training (Only for clients who purchased the AI Agent package as an additional fee of $197/mth)
META (Facebook) Ad creation and setup (provided for an additional $200/mth)
Exclusive Script Vault: Access to proven scripts tailored for securing seller listings.
2. Payment Terms
Total Package Fee: varies depending on the package
Payment Due Date: Before service begins
Payment Method: Credit card gateway processor (STRIPE)
3. Client Commitments
Availability: The Client agrees to provide necessary access to resources and personnel (for Team Training and In-person Training) as required for the effective delivery of Services.
Preparation: The Client will ensure that all participants are prepared and available for the scheduled training sessions.
Engagement: Active participation and engagement from the Client and/or Client’s team during the training sessions to maximize the benefits of the Fierce Formula.
4. Scheduling and Location
Training Dates: mutually agreed upon
Location Details: Virtually.
5. Cancellation and Rescheduling
Cancellation by Client:
A roadmap and client coaching session date is given at the kickoff called. The client is responsible for attending the 12 weekly session at the confirm time and date both parties agreed upond. Rescheduling sessions are not guaranteed and missed trainings will void any and all guarantees and reimbursement of time. If cancellation occurs within 7 days of the scheduled training, it is Non-Refundable for in-person training, as well as voids any guarantees and reimbursement for failed outcomes
If any weekly sessions are cancelled the day of and/or without notification and rescheduling, the guaranteed $1,000 reimbursement for your time if we do not get you 2-listings is void as well as the refund for services is void if any sessions are cancelled or missed.
Rescheduling:
The Client may request to reschedule the training without penalty provided that both parties agree on a new date at least 3 days in advance.
Rescheduling requests made within 2 days of the training date may be subject to a rescheduling fee of 100%.
Cancellation by Provider:
In the unlikely event that the Provider needs to reschedule the training, it will be done within 3 days before the scheduled time for the Client at a mutually agreeable time.
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the term of this Agreement and not to disclose such information to any third party without prior written consent.
7. Liability
The Provider will perform the Services with reasonable skill and care.
In no event shall the Provider be liable for any indirect, incidental, or consequential damages arising out of or related to this Agreement.
The Client agrees to indemnify and hold harmless the Provider against any claims, damages, or liabilities arising from the Client’s use of the Services.
8. Intellectual Property
All materials provided by the Provider during the training remain the intellectual property of the Provider. The Client is granted a non-exclusive, non-transferable license to use the materials solely for internal purposes.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Pennsylvania, without regard to its conflict of law principles.
10. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, agreements, or understandings of any kind.
11. Amendments
Any amendments or modifications to this Agreement must be made in writing and signed by both parties.
12. Severability
If any provision of this Agreement is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
13. Notices
All notices required or permitted under this Agreement shall be in writing and delivered to the respective parties at the addresses provided above.
Appendix A: Schedule A – Client Commitment and Responsibilities
To qualify for the Fierce Formula AI Package guarantee of 2 real estate listings (residential or commercial) within a 3-month period, the Client agrees to the following commitments:
1. Weekly Commitment
Work Hours:
Dedicate at least 35 hours per week to implementing the Fierce Formula strategies for real estate listings.
2. Implementation of Fierce Formula
Full Adherence:
Execute all components of the Fierce Formula as outlined during training, ensuring consistent application of strategies for acquiring listings.
3. Progress Tracking
Weekly Reports:
Submit a brief weekly report detailing via email:
Actions taken
Progress towards listing goals
Any challenges faced and solutions applied
Monthly Reviews:
Participate in quarterly meetings with the Provider to assess progress and adjust strategies as needed.
4. Resource Allocation
Dedicated Team Members:
Assign key personnel to oversee and support the implementation of the Fierce Formula.
Access to Information:
Provide necessary access to property databases, client information, and other relevant resources to facilitate strategy execution.
5. Guarantee Conditions
Eligibility Criteria:
To receive the guarantee of 2 listings within 3 months, the Client must:
Maintain the 35-hour weekly commitment.
Purchase the FierceFlow2x CRM for a min of 3months $297 per month
Fully implement all Fierce Formula strategies.
Actively engage in progress tracking and review meetings.
Agree to the recording of phone calls, client meetings, and trainings
Definition of Listings:
Listings refer to successfully secured agreements for either residential or commercial real estate properties for sale or for lease.
6. Communication and Support
Open Communication:
Maintain regular communication with the Provider, promptly addressing any issues or requests for assistance.
Problem Resolution:
Inform the Provider immediately of any obstacles to ensure timely support and solutions.
7. Non-Compliance
Consequences:
Failure to adhere to the 35-hour weekly commitment or to fully implement the Fierce Formula will void the guarantee of 2 listings and the payment of $1,000 if the client does not earn two listing within 90 days.
8. Media Consent
Video and Photography:
In exchange for the discounted package price (Value $35,000), the Client agrees to allow the Provider to take video and photography during training sessions, implementation activities, and related events.
Use of Media:
The Provider is authorized to use the captured media to showcase the results and processes on their website, social media platforms, and other marketing channels.
Privacy Considerations:
The Provider will respect the Client's privacy and may anonymize sensitive information as needed. Any specific restrictions on media usage must be communicated in writing prior to the commencement of services.

Additional Terms Specific to the Fierce Formula AI Package
Customization: The Fierce Formula will be tailored to fit the unique needs and objectives of the Client, ensuring maximum relevance and impact.
Follow-Up Support: Group coaching via webinars, 1:1 consultation calls, chat, text, and email support, or access to additional resources.
Results Measurement: Client will obtain 2 listings within a 3 month period, or the Provider will continue to work with the client, adding additional resources to secure the desire results. The Client maintains and can document that they follow the process itemized in Schedule A and shared the obstacles in writing via email, text, or letter at least monthly or 6 weeks before the end of the 90-day term.
